Terms and Conditions

(Version in force as of 22 April 2025)

The following Terms and Conditions apply to the use by users of all services, identified and described in the paragraph “Identification of Services” below, offered by Eni S.p.A. (hereinafter “Eni”), with registered office in Rome, Piazza Enrico Mattei 1, VAT number 00905811006, Tax Code and registration number with the Companies Register of Rome 00484960588, the company that owns the portal identified by the URL http://www.eni.com (hereinafter the “Website”).

Acceptance of the following Terms and Conditions constitutes the conclusion of a contract (“Contract”) between Eni and the user and is a necessary condition for access to the Website and the use of its related services. By accessing or using the Website or any of its features or services, the user confirms that they have read and accepted this document containing the Terms and Conditions.

The services accessible through the Website include informational content (texts, newsletters, podcasts), multimedia content (photos, images, infographics and maps, videos), and interactive content (interactive tools, fillable forms, internal search engine, QR codes, content sharing functions, external links, document downloads). 

The list of services indicated may not be exhaustive, and Eni may at any time expand or reduce the range of services listed above, by providing notice to users via the Website. In such cases, these Terms and Conditions shall also apply to all future services, as and when identified (the “Services”).

Even though the Services are made available without any payment being requested by Eni, the following is acknowledged:

  • Eni may at any time suspend or permanently interrupt the provision of the Services, in whole or in part 
  • Use of the Services is at the user’s sole risk and responsibility 
  • The Services are provided free of charge, in the condition in which they are found, with no promise or guarantee of the validity or accuracy of the content or the continuity of the service 
  • Eni does not guarantee that the Services will meet the user’s specific requirements, or that they will be uninterrupted, fit for purpose, secure, or error-free, nor does it provide any guarantee regarding the results expected, desired, or obtained through the use of the Services 
  • The Services provided by Eni do not include those related to telecommunications (including packet-switched data transmission Services); the acquisition of such telecommunications services must be made independently by the user. 
  • The Services may not be supported by some of the commercially available browsers and/or operating systems or some versions of the same. It is therefore the user's responsibility to identify the correct combination of software and hardware that enables proper use of the Services. 

These Terms and Conditions govern the subscription to and use of the newsletter service provided by Eni as an informational tool through which Eni shares updates, news, promotions, events, corporate developments and other important communications. By subscribing to the newsletters, the user accepts the terms set out in this document:

  • subscription is free of charge
  • a valid email address must be provided, and it is the user’s responsibility to ensure that the email address submitted is active and accessible
  • the user warrants that the information provided is truthful, complete, and up to date
  • the information provided will be processed in accordance with the Privacy Policy available on the Website

Communications will be sent by email to the address provided at the time of subscription. The user may unsubscribe from the newsletter at any time by using the “Unsubscribe” link included at the bottom of each email. Eni is not responsible for any technical issues that may prevent users from properly receiving the newsletter.

The contents of the newsletter, including texts, images, logos and design elements, are the property of Eni and are protected by intellectual property laws. Unauthorised reproduction, distribution, or use of the contents is prohibited.

Eni reserves the right to change these Terms and Conditions at any time.

Eni reserves the right to change these Terms and Conditions at any time, as well as to modify, supplement and/or discontinue one or more of the components, features, or functions of the Services, for legitimate reasons (such as optimisation and improvement of the Services, exceptional developments, compliance with legislative or regulatory changes, the need to address security issues, or newly arisen technical or economic requirements).

The user expressly authorises Eni to send to the email address provided any changes to the Terms and Conditions and any special conditions, which shall constitute the full set of contractual terms governing the provision of the Services. The user must retain a copy of the Terms and Conditions and of any subsequent changes that may be made to them. The use of even one single Service shall be deemed as confirmation of the user’s acceptance of the Terms and Conditions, of any special conditions, and of any subsequent changes. 

All intellectual and industrial property rights, including but not limited to: inventions, utility models, industrial designs and models, trademarks, trade names, geographical indications and trade secrets, works protected by copyright (in particular, computer programs) and rights related to copyright (especially databases), relating to the Services, the data and other materials originating from Eni or otherwise made available by Eni under these Terms and Conditions (“Eni intellectual and industrial property rights”), shall remain the property of or available to Eni. 

Any reproduction, distribution, or other use of Eni’s Services, materials or data, and of the related intellectual and industrial property rights, including use within artificial intelligence systems, is prohibited without the prior written consent of Eni, except where otherwise provided for in these Terms and Conditions or permitted by law. To the extent permitted by law, Eni accepts no liability for any use made by users of the Services, materials, data, or the related Intellectual and Industrial Property Rights. 

The databases on which the Services are based (hereinafter the “Databases”), as well as the contents of the Website, are protected by copyright pursuant to Law No. 633 of 22 April 1941, as subsequently amended (hereinafter “Italian Copyright Law”). The Databases are also the result of substantial investments made by Eni, and are therefore additionally protected under Articles 102-bis and 102-ter of Italian Copyright Law. For the purposes of such protection, the only permitted use of the Databases is that which is carried out in accordance with these Terms and Conditions. Under no circumstances shall these Terms and Conditions be interpreted as granting users the right to extract or reuse the whole or a substantial part of the data. It is further specified that all maps and geographical representations, regardless of how they appear on the Website, do not imply any position regarding the sovereignty of any territory, the delimitation of international borders and the naming of territories, cities or areas.

Use of the Services is personal and non-transferable and is permitted solely by natural persons for strictly personal use and, in any case, not for the purpose of gain, profit, or any other economic benefit, except as expressly provided otherwise.

 

The following are prohibited:

  • including content extracted through the use of the   Services in works protected by copyright
  • reproducing, publishing, distributing, storing in databases, translating, adapting, duplicating, copying, selling, framing, deep linking, reselling or otherwise exploiting, for commercial purposes or for gain or profit, the Services in any of their parts or any content extracted from the Databases, as well as the use of or access to the Services.

All multimedia content on this Website, including images and videos, is protected by copyright and may not be used, copied, modified, or distributed by third parties without prior written authorisation. However, the materials made available in the Media section are intended exclusively for journalists and media representatives, who may use them for informational and promotional purposes, provided that the source is always acknowledged.

Eni reserves the right to deny the user access to the Website or to any of its features and/or to prevent use of the Services in cases of abnormal use, including but not limited to violations of these Terms and Conditions, and in particular the provisions set out in Articles 5 “Intellectual and industrial property rights in relation to the Website Services” and 6 “Prohibition of the resale or commercial use of the Services,” without incurring any liability towards the user.

Eni may provide links to third-party websites or to other Internet resources. It is acknowledged and agreed that Eni has no control over the content of such websites and, acting solely as a third party, accepts no responsibility for the content and/or material, including advertising material, published on such websites or external resources, or for the products or services offered therein. Such products or services shall not be considered in any way as sponsored, shared, or supported by Eni, and the user therefore assumes full responsibility for any purchases made of such products or services.

Also in view of the fact that the Services are provided free of charge, Eni disclaims all responsibility for any claims relating to the inability to access the Website and/or use the Services. Eni accepts no responsibility for any damages, claims, or losses, whether direct or indirect, arising from the failure and/or malfunction of the user's or any third party’s electronic equipment, including Internet service providers, telephone and/or data connections not directly managed by Eni or by parties for whom Eni is responsible. Eni shall not be deemed in breach of its obligations, nor held liable, for:

  • damages resulting from the non-performance of the Services due to incorrect or failed functioning of the electronic means of communication for reasons beyond its reasonably foreseeable control, including, but not limited to, fires, natural disasters, power failures, unavailability of telephone lines or other network service providers, malfunctioning of computers or other electronic devices, whether or not part of the Internet, or the malfunctioning of software installed by the user
  • consequences arising from the actions of others or of various individuals who have access to the Internet.

Users may use the Services in good faith and with fairness, in particular:

  • exclusively for lawful purposes and in compliance with applicable laws, customs and practices, and the rules of diligence, without infringing the rights of third parties
  • in accordance with regulations on data protection, intellectual and industrial property, cybercrime and telecommunications
  • accepting responsibility for the content of messages and texts sent via the Services, and holding Eni, its employees, partners and affiliated entities harmless from any damage claims or actions for compensation
  • undertaking to reimburse Eni for any costs arising from claims or legal actions by third parties caused by the use of the Services by users or by persons authorised to access them.

Any information and/or material provided to Eni via the Website shall not be considered confidential. Therefore, no obligation shall arise for Eni with respect to such information and/or material. Eni reserves the right to use such information and/or material in any manner it deems appropriate.

These Terms and Conditions are governed by Italian law. Should any provision be deemed invalid, void and/or otherwise unenforceable under applicable legal provisions, the remaining provisions shall nonetheless remain fully valid and effective.

In accordance with applicable law, any dispute involving Eni arising from access to and/or use of the Services or the Website, or from a breach of these Terms and Conditions, shall fall under the exclusive jurisdiction of the Court of Rome, except where the user qualifies as a consumer pursuant to Legislative Decree No. 206/2005 as amended, in which case the competent court shall be that of the user’s place of residence or temporary address.    

The Reserved Area of the Website is accessible only to Eni employees, suppliers, or other persons authorised by Eni. To access the Reserved Area, some personal data will be required. The processing of such data will be carried out in accordance with the Privacy Policy available on the Website, provided in compliance with Regulation (EU) 2016/679. In order to access the Reserved Area, the user will be sent an email containing the text of these Terms and Conditions and the Privacy Policy, including a request for confirmation of the data and acceptance of said conditions. Once validated in this manner, the confirmation email shall be regarded as an electronic document signed with an electronic signature in accordance with Article 6 of Legislative Decree No. 10 of 23 January 2002. By accepting the Terms and Conditions, the user shall declare that their personal data is accurate and undertake to update it promptly to ensure that it remains complete, current, and truthful. The password and username are personal and non-transferable. The user shall be responsible for maintaining their password and username confidential. They shall also be required to use their username and/or password only in an authorised manner.

Username and/or password must be used in accordance with these Terms and Conditions. The user assumes full responsibility for all activity carried out in connection with the Services and agrees to indemnify and hold Eni harmless from any claims or demands arising from the use or misuse of the Services.

Analyst coverage

Eni is followed by analysts and banks listed on the dedicated page. The list may not be complete and is constantly changing. Please note that any opinions, estimates, or forecasts regarding Eni’s results expressed by the analysts of said banks, as shown on the Analyst Coverage page and the Analyst Estimates page are personal opinions and do not represent the views, forecasts, or projections of Eni or Eni’s management. The publication of this information by Eni does not constitute - and this statement serves as an explicit disclaimer - any endorsement of the research, conclusions, or recommendations provided by such analysts.

Eni credit rating

A rating is not a recommendation to buy, sell or hold Eni Group securities of any kind. As the above ratings may be changed, replaced, suspended or withdrawn, the Website's Users should verify the current long-term and short-term rating and outlook.

Portfolio value

The Value of your portfolio calculator is intended to be used only with respect to Eni ordinary shares and depends on the accurate input of information regarding the number of shares and their purchase price, excluding any costs related to purchase and/or sale commissions or taxes. Eni does not guarantee or warrant the accuracy and the timeliness of the results provided by the Investment Calculator. Investors should not base their investment decisions on these results and should be aware that share prices in time may decrease as well as increase, and that they may not recover the amount originally invested. Investors should be aware that past performance is not a guide to future performance.

Bond issues

This page contains information and some Terms and Conditions relating to the Eni Group’s medium- and long-term bond issues, as available at the date of the most recent update. Administrative liability and anti-corruption

The Client confirms that they have read and are aware of: (a) the general transparency standards applicable to sensitive activities under Model 231 pursuant to Legislative Decree No. 231/2001 and the Eni Code of Ethics; (b) Eni’s “Anti-Corruption Management System Guidelines”; and (c) Eni’s Statement on respect for human rights. The documents listed under (a), (b), and (c) are available on the website www.eni.com. 

These documents have been prepared on the basis of the principles set out in relevant legislation and international best practices, which the Client acknowledges and undertakes to comply with.

In performing the contract, the Client undertakes to comply - and to ensure that its directors and employees comply with applicable laws designed to combat and punish corruption (including Italian Legislative Decree No. 231/2001, the U.S. Foreign Corrupt Practices Act, the UK Bribery Act 2010, other applicable anti-corruption laws in force worldwide, and international anti-corruption treaties such as the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions and the United Nations Convention against Corruption).
